LIQUID CANVAS ARTIST PARTNER AGREEMENT

Last updated: September 24, 2026 This Artist Partner Agreement (“Agreement”) governs artwork submitted to Liquid Canvas Art, LLC (“Liquid Canvas,” “we,” or “us”) for possible display through its applications, websites, television applications, and related services (the “Platform”). The person or entity submitting artwork is the “Artist” or “you.” By submitting artwork to Liquid Canvas for inclusion on the Platform, you agree to this Agreement. No separate signature, checkbox, or “I Agree” button is required. If you submit artwork on behalf of an entity, you represent that you have authority to bind that entity. You must be at least 18 years old to submit artwork. “Artist Partner” describes participation in this program. It does not create a legal partnership, joint venture, employment relationship, agency, or fiduciary relationship. 1. Artist Content and ownership “Artist Content” means the artwork, photographs, animations, video art, titles, descriptions, and related materials that you submit for inclusion on the Platform. It also includes your name, biography, logo, and profile materials to the extent you provide them for use with your artwork. You retain ownership of your Artist Content and all rights you hold in it. This Agreement does not assign copyright or any other ownership interest to Liquid Canvas. You remain free to sell, license, exhibit, publish, and distribute your artwork elsewhere. Liquid Canvas may accept or decline any submission and may decide how accepted Artist Content is presented, categorized, featured, or removed. We do not guarantee that any submitted work will be displayed. 2. License to Liquid Canvas From submission until the applicable license ends under Section 8, you grant Liquid Canvas a worldwide, non-exclusive, royalty-bearing license to host, store, reproduce, encode, format, resize, transmit, stream, publicly display, publicly perform where applicable, and make Artist Content available through the Platform. This license includes the right to create technical copies, thumbnails, and previews; include Artist Content in collections and recommendations; and use reasonable images or excerpts of Artist Content, together with your supplied name and approved profile materials, to identify and promote the artwork, your participation, and the Platform. Liquid Canvas may permit its hosting providers, content delivery providers, application distributors, and other service providers to exercise these rights solely as needed to operate and promote the Platform. Liquid Canvas may not sell standalone copies of your artwork or use it on merchandise without your separate authorization. The license is non-exclusive, and you may grant the same rights to others. 3. Your assurances You represent and warrant that: You own or control the rights needed to submit Artist Content and grant the license in this Agreement. The Platform’s authorized use of Artist Content will not infringe another person’s copyright, trademark, privacy, publicity, contractual, or other rights. You have obtained any permissions and releases required for third-party material or identifiable people appearing in Artist Content. No other agreement prevents you from granting these rights. Your submissions and information provided to Liquid Canvas are materially accurate and comply with applicable law. You will promptly tell Liquid Canvas if any of these assurances ceases to be true. 4. Monthly royalty calculation For each calendar month, Liquid Canvas will calculate your preliminary royalty as follows: Your qualifying Artist Content streams ÷ all qualifying Platform content streams × Subscription Revenue for that month. A “qualifying stream” is a genuine viewing event that meets Liquid Canvas’s consistently applied measurement rules. All qualifying Platform content streams are included in the denominator, whether the content belongs to an Artist Partner or comes from another source. Liquid Canvas may exclude fraudulent, automated, manipulated, duplicate technical, internal test, or otherwise invalid activity from both stream counts. “Subscription Revenue” means subscription fees attributable to that month and actually retained by Liquid Canvas, excluding refunds, chargebacks, credits, transaction taxes, and amounts retained by app stores or payment intermediaries. For annual subscriptions, the retained subscription fee will be allocated across the applicable subscription months. Advertising, sponsorship, hardware, and other non-subscription revenue are excluded. If there are no qualifying Platform content streams or no Subscription Revenue in a month, no royalty accrues for that month. 5. Collective 20% cap The total royalties earned by all Artist Partners for a calendar month may not exceed 20% of that month’s Subscription Revenue. If the sum of all Artist Partners’ preliminary royalties exceeds that cap, Liquid Canvas will reduce each preliminary royalty proportionately. Each artist will receive the same share of the capped pool as that artist’s preliminary royalty represents of all artists’ preliminary royalties. No royalty under this Agreement is calculated or promised outside this collective cap. 6. Statements and payments Liquid Canvas will make a monthly royalty statement or equivalent account information available to you within 60 days after the end of the month. A statement may be corrected for later-discovered refunds, chargebacks, fraud, or measurement errors; any correction will be shown in a subsequent statement. Payment becomes due when your accumulated unpaid royalty balance exceeds $200. Once it does, Liquid Canvas will pay the full eligible balance within 60 days after the end of the month in which the threshold was exceeded, provided you have supplied reasonably required tax and payment information. Balances of $200 or less carry forward. On termination, Liquid Canvas will pay any valid final accrued balance, including a balance of $200 or less, within 90 days after final reconciliation and receipt of required tax and payment information. You are responsible for taxes on amounts paid to you, except taxes imposed on Liquid Canvas’s income. Liquid Canvas may withhold or report amounts where required by law. You may dispute a statement by giving Liquid Canvas written notice describing the issue within 12 months after the statement is made available. The parties will cooperate in good faith to resolve a timely dispute. Liquid Canvas’s records control absent a demonstrated error. 7. Term and artist termination Your participation begins when you first submit Artist Content under this Agreement. It continues in successive three-month periods measured from that date. You may elect in writing to terminate your participation during any three-month period. Your termination takes effect at the end of that period. A notice received after a period has ended applies to the next period. You may send notice using a termination option provided in your artist account or by replying to an artist-program email from Liquid Canvas and clearly stating that you wish to terminate. Liquid Canvas will confirm receipt of your notice. You may continue submitting content until termination takes effect unless Liquid Canvas tells you otherwise. Liquid Canvas may terminate your participation on 30 days’ written notice, or immediately for a material breach, suspected infringement, fraud, unlawful content, or a significant security risk. It may remove individual works without terminating your participation. 8. What happens at termination When termination takes effect, Liquid Canvas will stop making your Artist Content available for new streams as soon as commercially practicable, and no later than 30 days afterward. The license in Section 2 remains effective only as necessary to complete that removal. After removal, Liquid Canvas may retain nonpublic backup copies and records reasonably needed for legal, security, and accounting purposes, but may not use them for new public displays or promotions. Royalties continue to accrue for qualifying streams occurring during the removal period. Termination does not erase royalties already earned, a timely statement dispute, or obligations that by their nature should continue, including ownership, payment, confidentiality, indemnification, and dispute provisions. 9. Changes to this Agreement Liquid Canvas may change this Agreement from time to time. We will provide you with the revised terms and a summary of material changes by email to the address in your artist account, or through a prominent artist-account notice, at least 30 days before the changes take effect. We will identify the effective date and retain the prior version applicable to earlier periods. Changes to royalty calculations, the collective cap, payment thresholds, termination rights, or the scope of the artwork license will apply prospectively only. They will not reduce royalties already earned or expand the license for a use completed before the effective date. If you do not agree to a change, you may give written termination notice before its effective date regardless of where you are in your three-month period. In that case, your participation will end on the change’s effective date, and the prior terms will govern your content and royalties through that date and the ensuing removal period. If, after receiving notice and having the opportunity to withdraw, you submit additional Artist Content or elect to continue making your existing Artist Content available after the effective date, the revised terms will govern participation from that date forward. 10. Content complaints and platform operations Liquid Canvas may restrict or remove Artist Content while investigating a credible rights complaint or legal demand. You will reasonably cooperate in resolving complaints involving your content. Liquid Canvas controls the Platform’s design, pricing, subscription offerings, and operation. This Agreement does not promise a minimum number of streams, subscribers, placements, or royalties. Liquid Canvas will use commercially reasonable efforts to identify you as the creator where the relevant interface supports artist credit. If you report a missing or incorrect credit, we will review and, where appropriate, correct it within a commercially reasonable time. 11. Confidentiality and subscriber information If you receive nonpublic business, technical, financial, or subscriber information from Liquid Canvas, you will use it only for your participation in the program and will not disclose it except as required by law or with our written permission. This obligation does not cover information that becomes public without your breach, was already lawfully known to you, or was independently obtained without a duty of confidentiality. Liquid Canvas retains control of its subscriber relationships and data. This Agreement does not entitle you to personally identifiable subscriber information. 12. Indemnification You will defend and indemnify Liquid Canvas and its members, managers, employees, and service providers against third-party claims, damages, and reasonable legal costs arising from your breach of Section 3 or an allegation that Artist Content, as supplied by you and used as authorized by this Agreement, violates a third party’s rights. Liquid Canvas will give you reasonably prompt notice and cooperation. You may not settle a claim in a way that imposes an admission, payment, or continuing obligation on Liquid Canvas without its written consent. 13. Liability Neither party will be liable to the other for indirect, consequential, exemplary, or punitive damages arising from this Agreement, to the extent permitted by law. Except for royalties owed, indemnification obligations, fraud, willful misconduct, or unauthorized use of the other party’s intellectual property, Liquid Canvas’s total liability under this Agreement will not exceed the greater of $1,000 or the royalties paid or payable to you in the 12 months before the event giving rise to the claim. Nothing here limits liability that cannot lawfully be limited. 14. General terms California law governs this Agreement, without regard to its conflict-of-law rules. Courts located in California will have jurisdiction over disputes arising from it, subject to applicable law. You may not assign this Agreement without Liquid Canvas’s written consent. Liquid Canvas may assign it in connection with a merger, reorganization, or sale of substantially all relevant assets, provided the assignee assumes its obligations. If a provision is unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver of it. This Agreement, together with a properly noticed amendment under Section 9, is the entire agreement concerning your participation in the Artist Partner Program. Notices to you may be sent to the email address associated with your artist account. You are responsible for keeping that address current. Notices to Liquid Canvas may be sent through the artist-account contact method or to the artist-program email address identified on the Platform. Submitting Artist Content is your acceptance of these terms.
